Terms of Service

These Terms of Service, together with the End User License Agreement set out below, govern your access to and use of the Tribo app and website. Please read them carefully.

1. Acceptance of Terms

Tribo, Inc. (“Tribo,” “we,” “us,” or “our”) provides the Tribo mobile application, website, and related services (collectively, the “Service”) to fraternal organizations, clubs, and political districts (each, an “Organization”) and their authorized members.

By creating an account, purchasing a seat license, or otherwise using the Service, you agree to these Terms of Service (the “Terms”). If you are accepting these Terms on behalf of an Organization, you represent that you are authorized to bind that Organization. If you do not agree, do not use the Service.

2. License to Use Tribo

Subject to these Terms and payment of the applicable fees, Tribo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Tribo app on devices you own or control, solely for your Organization’s internal, non-commercial fraternal operations.

You may not, and may not permit anyone else to:

  • copy, modify, or create derivative works of the Service;
  • reverse engineer, decompile, or attempt to extract the source code of the app, except where this restriction is prohibited by law;
  • rent, lease, sell, sublicense, or otherwise transfer your license or seats to any third party outside your Organization;
  • remove or obscure any proprietary notices, or use the Service to build a competing product.

This license lasts only for the term of your active subscription and terminates automatically if these Terms are breached or the subscription lapses.

3. Accounts & Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us promptly at our contact page if you suspect any unauthorized use.

4. Organizations, Admins & Members

The Service is administered at the Organization level. An Organization designates one or more administrators (“Admins”) who manage seats, content, and members.

  • Adminsare responsible for how seats are allocated, for content published through the Megaphone, and for ensuring members are authorized to access the Organization’s data.
  • Membersmust use the Service in line with both these Terms and their Organization’s own rules.
  • Tribo is not responsible for disputes between an Organization, its Admins, and its members, including disputes over seat allocation, removal, or membership status.

5. Acceptable Use

You agree not to use the Service to:

  • violate any law, or infringe the rights of any person or Organization;
  • upload or transmit unlawful, harassing, defamatory, or misleading content;
  • access another Organization’s data without authorization, or scrape, harvest, or misuse member directories;
  • distribute malware, attempt to disrupt the Service, or circumvent its security, seat limits, or activation keys;
  • impersonate any person or misrepresent your affiliation with an Organization.

6. Seat Licenses & Billing

The Service is sold as annual seat licenses. Pricing depends on the plan and seat count selected at checkout, as shown on our pricing page. Payments are processed by our third-party payment provider, PayMongo; by purchasing, you also agree to PayMongo’s applicable terms.

  • Fees are quoted and charged in Philippine Pesos (₱) and are billed annually, in advance, for the seat count purchased.
  • Upon successful payment, the purchasing Admin receives an activation key (a Master Key, Top-Up Key, or renewal) that unlocks the licensed seats.
  • Except where required by law, fees are non-refundable once the corresponding licenses or keys have been issued.
  • Tribo may change its prices on a prospective basis; changes do not affect a subscription term already paid for.

7. Renewals & Cancellation

Subscriptions run for a one-year term. Renewals are completed by the Organization through the in-app invoice or the renewal page; a successful renewal payment extends the subscription by a further 365 days.

If a subscription is not renewed before it expires, access to paid features may be suspended until payment is made. You may choose not to renew at any time; non-renewal is the means of cancellation. Expiry does not entitle you to a refund of fees already paid for the current term.

8. Intellectual Property

The Service, including its software, design, branding, and the “Tribo” name and logo, is owned by Tribo and protected by intellectual-property laws. These Terms grant you a license to use the Service, not any ownership of it.

Your Organization retains ownership of the content and data it submits to the Service (“Customer Content”). You grant Tribo a limited license to host, process, and display Customer Content solely as needed to operate and support the Service.

9. Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge that personal data will be processed as described there, including under the Philippines Data Privacy Act of 2012.

10. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Tribo disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

To the maximum extent permitted by law, Tribo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or goodwill, arising out of or related to your use of the Service. Tribo’s total aggregate liability for any claim relating to the Service will not exceed the amount your Organization paid to Tribo in the twelve (12) months preceding the event giving rise to the claim.

12. Termination

You may stop using the Service at any time. Tribo may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or use the Service in a way that risks harm to Tribo, other users, or the public. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the app or website and update the “Last updated” date above. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws rules. The courts located in the Philippines will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
