Terms of Service

These Terms of Service, together with the End User License Agreement set out below, govern your access to and use of the Tribo app and website. Please read them carefully.

1. Acceptance of Terms

Konektribo Innovations Inc. (“Tribo,” “we,” “us,” or “our”) provides the Tribo mobile application, website, and related services (collectively, the “Service”) to clubs, districts, community associations, and other organizations (each, an “Organization”) and their authorized members.

By creating an account, subscribing to the premium tier, or otherwise using the Service, you agree to these Terms of Service (the “Terms”). If you are accepting these Terms on behalf of an Organization, you represent that you are authorized to bind that Organization. If you do not agree, do not use the Service.

2. License to Use Tribo

Subject to these Terms and payment of the applicable fees, Tribo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Tribo app on devices you own or control, solely for your Organization’s internal, non-commercial operations.

You may not, and may not permit anyone else to:

  • copy, modify, or create derivative works of the Service;
  • reverse engineer, decompile, or attempt to extract the source code of the app, except where this restriction is prohibited by law;
  • rent, lease, sell, sublicense, or otherwise transfer your license or seats to any third party outside your Organization;
  • remove or obscure any proprietary notices, or use the Service to build a competing product.

The core Platform license lasts for as long as you maintain a Tribo account in good standing and terminates automatically if these Terms are breached. Premium features are limited to the term of your active premium subscription, if any.

3. Accounts & Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us promptly at our contact page if you suspect any unauthorized use.

4. Organizations, Admins & Members

The Service is administered at the Organization level. An Organization designates one or more administrators (“Admins”) who manage seats, content, and members.

  • Adminsare responsible for how seats are allocated, for content published through the Megaphone, and for ensuring members are authorized to access the Organization’s data.
  • Membersmust use the Service in line with both these Terms and their Organization’s own rules.
  • Tribo is not responsible for disputes between an Organization, its Admins, and its members, including disputes over seat allocation, removal, or membership status.

5. Acceptable Use

You agree not to use the Service to:

  • violate any law, or infringe the rights of any person or Organization;
  • upload or transmit unlawful, harassing, defamatory, or misleading content;
  • access another Organization’s data without authorization, or scrape, harvest, or misuse member directories;
  • distribute malware, attempt to disrupt the Service, or circumvent its security or subscription controls;
  • impersonate any person or misrepresent your affiliation with an Organization.

6. The Free App & Premium Subscription

The Tribo app is free to download and use. Every member gets full access to the core Platform (verified Digital ID, private community feed, member chat, and the trusted marketplace) at no cost.

Tribo Premium is an optional paid subscription available in two lengths, monthly or annual. Third-party sponsors may additionally fund Tribo Points for the organizations they support, subject to a separate agreement with Konektribo Innovations Inc.

  • On iOS, Tribo Premium is an auto-renewable in-app subscription. Payment is charged to your Apple ID account through the Apple App Store. Renewal, refunds, and family sharing are governed by the App Store’s terms.
  • On Android, purchases are currently processed through our payment provider, PayMongo, via secure web checkout. Android subscriptions do not auto-renew. You renew manually at the end of each term. If Tribo becomes available through Google Play, purchases made there will be charged to your Google account under Google Play’s terms.

Regardless of platform:

  • Subscription fees and available lengths are shown at the point of purchase in your local currency.
  • Upon successful payment, the purchasing member’s account unlocks the premium tier for the corresponding term.
  • Tribo may change its subscription prices on a prospective basis. Price changes do not affect a subscription term already paid for.
  • Except where required by law or by the applicable store’s refund policy, subscription fees are non-refundable once the corresponding premium period has started.

7. Auto-Renewal and Cancellation

How your Tribo Premium subscription renews and how you cancel depend on the store you purchased through.

If you subscribed through the Apple App Store (iOS): your Tribo Premium subscription is auto-renewable. Unless cancelled at least 24 hours before the current period ends, it renews automatically and the renewal is charged to your Apple ID account within 24 hours before the current period ends. To cancel: open Settings on your iPhone or iPad, tap your Apple ID at the top, tap Subscriptions, select Tribo Premium, and tap Cancel Subscription. Cancellation takes effect at the end of the current paid term, so you keep premium access until then.

If you subscribed through Google Play:your Tribo Premium subscription is auto-renewable and payment is charged to your Google account. Unless cancelled at least 24 hours before the current period ends, it renews automatically. To cancel: open the Google Play Store app, tap your profile icon, tap Payments & subscriptions, tap Subscriptions, select Tribo Premium, and tap Cancel subscription. Cancellation takes effect at the end of the current paid term.

If you purchased through PayMongo web checkout (Android APK): your Tribo Premium subscription does not auto-renew. It runs for the term you paid for (monthly or annual) and then expires unless you make a new purchase. There is no future charge to cancel. If you need to end the current paid term early, email admin@tribo-app.com; refunds for partial periods, if any, are handled at Konektribo Innovations Inc.’s discretion.

When any subscription ends and is not renewed, the account reverts to the free tier and premium features become unavailable until a new subscription is purchased. Core Platform access remains free at all times. Refunds for partial periods, if any, are handled by the applicable store under its own refund policy. Tribo does not process store-originated refunds.

8. Marketplace

The Tribo Marketplace lets members post listings for goods and services and connect with other members in their organization. Every transaction on the Marketplace is between the seller and the buyer directly. Tribo is not a party to any Marketplace sale.

  • Tribo does not process payment for Marketplace items, does not hold funds, and does not guarantee the condition, legality, or delivery of any listed item.
  • Buyers and sellers arrange payment and handover between themselves, outside the app. Meet-ups happen at your own judgment. We recommend meeting in a public place.
  • Sellers must comply with the separate Marketplace Listing Terms accepted inside the app before creating a listing.
  • Reports of prohibited or fraudulent listings are handled per the Acceptable Use section above. Tribo may remove listings and suspend accounts for violations.

9. Intellectual Property

The Service, including its software, design, branding, and the “Tribo” name and logo, is owned by Tribo and protected by intellectual-property laws. These Terms grant you a license to use the Service, not any ownership of it.

Your Organization retains ownership of the content and data it submits to the Service (“Customer Content”). You grant Tribo a limited license to host, process, and display Customer Content solely as needed to operate and support the Service.

10. Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge that personal data will be processed as described there, including under the Philippines Data Privacy Act of 2012.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Tribo disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

12. Limitation of Liability

To the maximum extent permitted by law, Tribo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or goodwill, arising out of or related to your use of the Service. Tribo’s total aggregate liability for any claim relating to the Service will not exceed the amount your Organization paid to Tribo in the twelve (12) months preceding the event giving rise to the claim.

13. Termination

You may stop using the Service at any time. Tribo may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or use the Service in a way that risks harm to Tribo, other users, or the public. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and governing law, will survive.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the app or website and update the “Last updated” date above. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws rules. The courts located in the Philippines will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

17. Points Systems

Tribo operates two distinct point systems inside the Platform: Rank Points(which track attendance, contributions, and service activity and drive a member’s rank) and Tribo Points (credits used to fund member recognition and Platform utility).

17.1 On-Platform Only

Tribo Points live exclusively inside the Tribo Platform and are used only within it. They are not cash. They cannot be redeemed for cash. Distribution and use of Tribo Points stays entirely within the Tribo ecosystem.

17.2 Distribution and Use

Authorized officers, meaning Club Presidents, District Officers, and sponsor teams, may distribute Tribo Points to members in recognition of service, attendance, or contribution. Members use the Tribo Points they have received on the Marketplace to pay Platform fees when posting a listing and to purchase visibility boosts for a listing.

Tribo Points are not used to purchase goods on the Marketplace. Buyers and sellers arrange item payment between themselves outside the app. Tribo Points cover only the Platform fees described above.

Receiving Tribo Points increases a member’s rank, because received Tribo Points count toward total recognition. Spending Tribo Points on Marketplace posting fees or visibility boosts does not reduce rank; recognition earned stays earned.

17.3 How Tribo Points Are Funded

Tribo Points enter circulation through two paths:

  • Sponsorship.An organization may be sponsored by a third party that funds Tribo Points for that organization’s members. Sponsored organizations receive Tribo Points into their wallet at a fixed rate per member onboarded, drawn from the sponsor’s wallet.
  • Individual top-up.An individual member may purchase Tribo Points for their own wallet through the Platform’s in-app top-up flow, subject to availability in your region.

Free-tier organizations do not have a Tribo Points economy. No Tribo Points are minted for members of a free-tier organization until one of the funding paths above is activated.

Any payment to Konektribo Innovations Inc. under either funding path is a service fee for the provision and maintenance of the Platform. The purchaser does not retain a redeemable balance with Konektribo Innovations Inc.

17.4 No Transfer, No Expiry (Except Termination), No Property Right

Tribo Points are non-transferable between accounts. Tribo Points have no expiration date while your account remains active. If your account is terminated (whether by you or by Konektribo Innovations Inc. under these Terms), any remaining Tribo Points balance is forfeited and cannot be recovered.

Tribo Points are non-refundable once distributed to your wallet. Konektribo Innovations Inc. reserves the right to suspend, revoke, or adjust Tribo Points balances in cases of fraud, abuse, account termination, or to remediate technical errors.
